1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the JHProIT website and any IT support, computer repair, network setup, cybersecurity, cloud, data backup, or managed IT services (collectively, the "Services") provided by JHProIT, located at 1930 Glenway Ave, Covington, KY 41014.
By using our website, requesting a quote, scheduling a service, or engaging JHProIT for any Service, you agree to be bound by these Terms. If you do not agree, please do not use our website or Services.
2. Description of Services
JHProIT provides professional information technology services including, but not limited to: IT support and help desk assistance, computer and hardware repair, network design and setup, cybersecurity support, cloud assistance, data backup solutions, technology consulting, and ongoing managed IT services for individuals and small businesses.
Specific service details, pricing, and deliverables will be communicated prior to the start of work, either verbally, via invoice, or through a signed service agreement for larger projects or managed plans.
3. Scheduling & Service Delivery
- Appointments may be scheduled by phone, email, or through our website's contact form.
- JHProIT will make reasonable efforts to arrive within the scheduled service window; delays may occasionally occur due to circumstances beyond our control.
- Cancellations or reschedules should be requested at least 24 hours in advance where possible. Repeated last-minute cancellations may result in a scheduling fee.
- Remote support sessions require the client's device to have a stable internet connection and, where applicable, explicit permission granted for remote access software.
4. Payment Terms
- Service rates are quoted prior to work beginning, based on the scope of the request. Diagnostic fees may apply and will be disclosed in advance.
- Payment is due upon completion of one-time services unless otherwise agreed in writing. Managed IT plans are billed on a recurring monthly or annual basis, as selected at signup.
- We accept major credit/debit cards, ACH bank transfer, and other payment methods as made available at the time of service.
- Late payments on invoices may be subject to a late fee and, for managed plans, may result in a temporary suspension of services until the account is brought current.
- Prices for parts and third-party licenses are passed through at cost plus a service/procurement fee, disclosed prior to purchase.
5. Client Responsibilities
To ensure effective service delivery, clients agree to:
- Provide accurate information about the devices, systems, or networks requiring service
- Ensure legal ownership or authorization to request service on any device, account, or network provided to JHProIT
- Maintain independent backups of critical data prior to any repair, migration, or configuration work whenever possible (see Section 6)
- Provide safe, reasonable access to premises and systems for on-site appointments
- Promptly disclose any known issues, prior repair attempts, or warranty restrictions related to the device or system in question
6. Data Backup Disclaimer
Clients are strongly encouraged to maintain an independent, up-to-date backup of all important data before any repair, upgrade, or IT service is performed. While JHProIT takes reasonable precautions to safeguard client data during service, we are not liable for any data loss, corruption, or system failure that occurs during diagnostics, repair, migration, or maintenance procedures — particularly where pre-existing hardware failure, malware, or storage degradation is present.
For clients enrolled in our managed backup or cloud backup services, backup coverage is limited to the specific systems, files, and schedules outlined in the applicable service agreement. JHProIT is not responsible for data not included in an active backup plan.
7. Warranties & Disclaimers
JHProIT provides a limited service warranty on labor for repairs performed, typically 30 days from the date of service, unless otherwise stated on your invoice. This warranty covers only the specific issue repaired and does not extend to unrelated hardware or software failures.
Except as expressly stated, Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. JHProIT does not guarantee that any device, network, or system will be completely free of future issues, vulnerabilities, or failures.
Hardware components (e.g., replacement parts) may carry a separate manufacturer warranty, which will be honored according to the manufacturer's terms.
8. Limitation of Liability
To the fullest extent permitted by law, JHProIT and its owner, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, loss of business opportunity, or damages resulting from third-party software, hardware failure, or pre-existing conditions of client systems.
JHProIT's total liability for any claim arising from the Services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.
9. Managed IT Service Agreements
Clients enrolled in a Managed IT plan (Essentials, Business, or Enterprise tier, or any custom plan) agree to the specific scope, response times, and deliverables outlined in their individual service agreement. General terms include:
- Monthly or annual billing, auto-renewing unless cancelled with at least 30 days' written notice
- Service coverage limited to devices, users, and systems explicitly listed in the agreement
- Response time targets are best-effort service level goals, not guaranteed outcomes, unless a formal Service Level Agreement (SLA) has been signed
- Either party may terminate a managed plan with 30 days' written notice; early cancellation fees may apply as specified in the individual agreement
10. Third-Party Products & Services
JHProIT may recommend, install, or configure third-party hardware, software, or cloud services (e.g., antivirus software, cloud storage providers, network equipment manufacturers) on behalf of clients. JHProIT is not responsible for the performance, pricing changes, outages, or policies of these third-party products, which are governed by their own respective terms and warranties.
11. Intellectual Property
JHProIT’s original website content, branding, and design may not be copied or redistributed without permission, except as permitted by law or for personal reference. Licensed third-party photographs and video remain subject to their respective owners’ rights and licenses. See Media Credits.
12. Termination of Services
JHProIT reserves the right to refuse, suspend, or terminate service to any client for reasons including, but not limited to, non-payment, abusive conduct, fraudulent activity, or requests to perform illegal or unethical technical work. Clients may discontinue one-time services at any point prior to work being performed; for managed plans, see Section 9.
13. Governing Law & Disputes
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall first be addressed through good-faith negotiation, and if unresolved, shall be subject to the exclusive jurisdiction of the state or federal courts located in Kenton County, Kentucky.
